Who these terms are between

These terms are between you (the partner) and NXTNET (GSTIN 07BUPPK0544M1Z8), who runs Clyrix. They apply in addition to the Clyrix terms of service, which cover your own use of Clyrix.

Joining

You apply on the form at clyrix.com/partners. We review every application and may approve or decline it at our discretion. Once you're approved, you log in with the email you applied with, and your first workspace becomes your partner workspace. Web developers, digital marketing agencies, chartered accountants and other consultants who advise businesses can apply.

What you get

While you are an approved partner:

• your own Clyrix workspace is free, with every app
• a partner link to share with your clients
• commission on what the customers you bring pay us, as set out below

Which customers are yours

A customer is yours when they create a new Clyrix workspace after opening your partner link, within 90 days of opening it. If they open another partner's link afterwards, the later link counts.

Your own workspace, workspaces that already existed, and workspaces you create for yourself don't count. We decide attribution from our records, and our decision is final.

Commission

You earn 20% of every payment a customer of yours makes to Clyrix for their plan and apps, before GST, for as long as they keep paying.

Commission is not earned on GST, wallet top-ups that aren't spent on a plan, refunded or reversed payments, or AI credits. If a payment is refunded after commission was paid, we deduct it from your next payout.

Staying active

You stay active for 12 months from your approval, and for 12 months after each new customer of yours makes their first payment. In short: bring at least one new paying customer a year.

While you are inactive, payments from your customers are recorded but don't earn commission. A new paying customer makes you active again from that day; payments made while you were inactive are not paid later.

Payouts and tax

We pay earned commission by bank transfer to the account you give us, usually once a month. You can see every commission and payout in your Partner program screen.

We deduct tax at source (TDS) as Indian law requires and issue the TDS certificate. Please give us your PAN and bank details before your first payout. If you are registered for GST, send us a GST invoice for your commission.

How you promote Clyrix

Be honest about what Clyrix does and costs. Don't:

• send spam or messages people didn't ask for
• make promises on our behalf, or offer discounts we haven't agreed
• bid on the name Clyrix in search ads, or use our name in your own domain or app names
• pose as Clyrix or NXTNET, or as one of our staff

Your clients' data

Your customers own their workspaces and their data. Being their partner doesn't give you access to their workspace; they can add you as a member if they want your help, and remove you at any time.

A customer who signed up through your link can choose to share their store check-ups, their GST, or both with your partner dashboard, and can stop sharing at any time. What they share is read-only, and each time your dashboard shows it is recorded and visible to them. Use it only to advise that customer and file their returns: don't sell it or share it with anyone else.

Ending the partnership

You can leave at any time by writing to us. We can end the partnership with 30 days' notice, or at once if these terms are broken.

When it ends, your workspace moves to a normal paid plan (or you can export your data), and commission stops. Commission already earned is paid, except where the partnership ended because of fraud or a breach of these terms.

Changes

We may change these terms, including the commission rate, with 30 days' notice by email or in the app. Commission already earned isn't affected.

Law

These terms are governed by the laws of India, and the courts at New Delhi have jurisdiction.
